These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your"), representing yourself or an authorized collegiate organization, and Univio Labs Inc. ("Univio," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Univio platform, including our web application, progressive web applications (PWA), public recruitment portals (/apply/:slug), and related APIs (collectively, the "Service").
By creating an account, authenticating via Google OAuth or magic link, or joining a student organization via an invite link or join code, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
You represent and warrant that you are at least 13 years of age. If you are between 13 and 18 years old, you may only use the Service with the consent and oversight of a parent, legal guardian, or authorized university sponsor. If you represent a collegiate student organization, club, or council, you represent that you have the requisite authority to bind that entity to these Terms.

Univio provides an integrated Operating System for Student Organizations, designed to eliminate the operational decay that occurs between academic semester transitions. Core functional modules include:
- Organizational Governance: Real-time member rosters, granular officer role assignments, and regenerable six-character join codes.
- Recruitment & Pipeline Engine: Public applicant portals, multi-stage Kanban boards (Applied, Screen, Coffee Chat, Interview, Offer), candidate evaluation rubrics, and star scoring.
- Treasury & Reimbursement Ledger: Category budget allocations, transaction categorization, and a treasurer review queue for approving, rejecting, or marking reimbursements paid.
- Event Operations & QR Scanner: Event creation, attendance rosters, calendar feed synchronization, and camera-based verification of cryptographically signed check-in tokens.
- Institutional Memory Vault: Hierarchical folder storage and rich Markdown document editing for bylaws, transition guides, and officer SOPs.
Plain-English SummaryClub admins control permissions and member access. Outgoing officers are responsible for transferring administrative titles to incoming leaders when their term concludes.
Account Integrity: You are responsible for maintaining the confidentiality of your authentication credentials. You agree not to share individual account credentials or transfer your individual profile to another student.
Club Administrator Responsibilities: Users assigned administrative roles (such as President, Vice President, or Organization Admin) have broad authority to configure join codes, assign permissions, approve financial reimbursements, and export organization records. Administrators must ensure their club’s use of Univio adheres to applicable campus regulations, university student codes of conduct, and student activities office policies.
Officer Succession & Continuity: Prior to graduating or concluding an elected term, outgoing executive officers are responsible for promoting incoming officers to appropriate administrative roles in Club Settings. Univio is not liable for access disputes arising from failure to execute officer handoffs prior to student graduation.
Plain-English SummarySubscriptions are billed securely through Whop. Subscriptions automatically renew monthly or annually until canceled. You can cancel anytime from Club Settings.
Billing Partner: All paid subscription transactions, plan upgrades, and payment methods are securely processed through Whop (Whop Inc., @whop/checkout). By purchasing a paid subscription tier (e.g. Plus or Organization), you authorize Univio and Whop to charge your designated payment method for recurring subscription fees.
Auto-Renewal: Subscription plans automatically renew at the beginning of each billing cycle (monthly or annual) at the then-current published rate, unless canceled prior to the renewal date.
Cancellation: You may cancel your subscription at any time via Club Settings > Billing. Upon cancellation, your organization retains access to paid features until the conclusion of the active prepaid billing period.
Refund Requests: Except where required by applicable law, subscription fees are non-refundable. In the event of documented billing errors or technical failure preventing platform use, reimbursement requests may be submitted to support@univio.co for case-by-case review.
Plain-English SummaryYou and your student organization own 100% of your data. We never claim ownership of your club documents, candidate resumes, financial logs, or meeting notes.
Your Content: Your student organization retains sole and exclusive ownership of all data, text, documents, meeting minutes, candidate evaluations, budget entries, images, and files uploaded or stored within your club space ("User Content"). Univio claims no intellectual property rights in your User Content.
Operational License: You grant Univio a worldwide, royalty-free, non-exclusive license to host, process, cache, replicate, and transmit your User Content solely to the extent necessary to deliver, maintain, and troubleshoot the Service for your organization.
Univio Property: The Univio platform, code, branding, visual styling, Stitch design tokens, interfaces, and logos are the proprietary property of Univio Labs Inc. You may not decompile, reverse-engineer, scrape, or copy platform source code without express written authorization.
Plain-English SummaryWhen candidates apply to your club, your organization is the data controller. Univio securely processes and stores candidate resumes on your behalf.
Controller vs. Processor: When prospective members submit applications and resumes via your organization's public recruitment link (/apply/:slug), your student organization acts as the Data Controller. Univio acts as a Data Processor on behalf of your club.
Officer Obligations: Club officers agree to handle applicant records, GPAs, contact details, and interview deliberations in compliance with applicable collegiate policies, non-discrimination requirements, and student confidentiality expectations.
No Data Resale: Univio never sells applicant data, commercializes student resumes, or exposes applicant pools across non-affiliated clubs. Candidate records are isolated strictly to your organization's authorized members.

You agree not to engage in any of the following prohibited actions:
- Using Univio to facilitate illegal activities, hazing, harassment, defamation, or campus conduct violations.
- Attempting to bypass InstantDB permission rules or gain unauthorized access to other student clubs.
- Uploading malware, automated bots, scrapers, or code designed to disrupt platform reliability.
- Forging or tampering with cryptographic event check-in tokens to falsify attendance records.
- Reselling, sublicensing, or distributing Univio services without prior authorization.
Plain-English SummaryWe work continuously for exceptional platform speed and reliability, but like any software infrastructure, the service is provided "as is".
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UNIVIO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, LOSS OF CAMPUS FUNDING, OR DISRUPTIONS RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL UNIVIO’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Plain-English SummaryYou can export your complete rosters and budgets to CSV at any time. Club admins can permanently delete their organization from the Danger Zone in Club Settings.
Data Export: Univio guarantees that student organizations can export their active rosters, candidate applicant histories, and financial ledgers via CSV export at any point during their active tenure.
Club Deletion: Authorized Club Administrators may terminate their organization via the Danger Zone in Club Settings. Permanent club deletion cascades through our real-time database, removing associated memberships, channels, events, and files.
Univio Termination: We reserve the right to suspend or terminate accounts that violate acceptable use standards or engage in malicious campus conduct, upon reasonable written notice where practicable.
